Framework Supply Agreement Sample

The presentation takes the form of an agreement that contains essential conditions applicable to each order. These essential conditions apply to any order, regardless of the type of goods that the supplier makes available to its customer. Among the essential conditions is the order procedure (in accordance with Annex 1) that the customer must follow when choosing an order. The special conditions to be attached to Annex 2 depend on the nature of the goods to be supplied, the circumstances and the requirements of the supplier. As a supplier, you may wish to attach a copy of your own standard terms for the delivery of a particular type of goods or an adapted version of those terms, or, where appropriate, you may add, as Appendix 2, the terms of delivery of goods in this sub-file or one of the other terms of delivery of goods that you will find in our business file. adapted in both cases if necessary. Regardless of the conditions set, these conditions are considered standard conditions when the customer orders from you. [Insert all other calendars containing an additional set of delivery terms] Clause 4.3 of the document specifies that it does not impose any restriction on the supplier to supply third parties or impose on the customer the purchase of third parties. Therefore, if exclusivity is necessary, the document should be amended if necessary. If one or both parties to this document are established outside the United Kingdom or if any aspect of the framework or appeal agreement relates to a territory outside the United Kingdom, we advise you to seek professional legal advice on the proposed agreement before entering into this document.

This document does not require the customer to place an order and, therefore, the document itself does not create any obligation for the customer to purchase a particular or minimum quantity or value of goods. Likewise, the supplier is not obliged to accept an order. If you wish to impose an obligation to purchase or deliver, the document should be adapted accordingly. If the customer decides to place an order, this order will justify, if and as soon as it is accepted, a binding contract for the supplier for delivery and for the customer for the payment of the particular description and quantity of the goods covered by the order. This sub-file shall contain a standard order form which may be attached as an annex to the order procedure provided for in Annex 1. . . .
